We have advised and represented several companies that provide financial services, in the design and drafting of their loan, leasing, factoring, mortgage and asset pledge agreements, among others.
Our firm assisted a group of controlling shareholders of a Mexican financial services company in the negotiation and implementation of a joint venture agreement involving the acquisition of a significant equity interest by a private equity fund. We also assisted such company in the design and implementation of its employee incentive plan through the granting of stock options (ESOP).
Energy and Maritime
Our firm provided legal advice to a group of investors in the start-up and day-to-day operations of a company engaged in the energy and maritime sector. Our support included the negotiation of various shareholder agreements, as well as the drafting and negotiation of credit agreements for the acquisition of vessels and the structuring of guarantees, including guaranty trusts, pledges of assets and shares, and general corporate matters.
We assisted a recently created Mexican company engaged in the generation and sale of energy through solar panels, in the design of its model contracts for the sale of electric energy and/or leasing of solar panels.
Education
We have participated as legal advisors in the negotiation and implementation of transactions involving the acquisition and/or sale of schools and educational centers (K12 and higher education) located in various regions of Mexico.
We have advised and represented a Monterrey-based group that operates educational centers in the negotiation and execution of a joint venture with a foreign private equity fund.
Telecommunications
Our firm assisted one of Mexico’s largest fixed-line telephone and internet companies in its day-to-day legal and transactional needs, including but not limited to the negotiation and implementation of credit transactions, debt issuance, collateral structures, sale of telecommunications towers, and commercial agreements with strategic suppliers and corporate clients.
Real Estate
We have advised and represented several companies engaged in the real estate sector in the structuring of their real estate projects, and in the negotiation and execution of development, construction, management, leasing, purchase, and sale, offer to purchase, and purchase and sale agreements, among others.
Our firm has assisted infrastructure and real estate trusts (FIBRA) in the negotiation and implementation of transactions involving the acquisition and leasing of real estate.
We also assisted a major real estate company focused on establishing a network of real estate for schools and educational centers in Mexico, in the negotiation and implementation of various transactions involving the acquisition and leasing of real estate located in Mexico.
Our firm has advised a company dedicated to the administration of construction projects, in the design and drafting of its model service contract, and in the negotiation and execution of its service contracts with its clients.
Manufacturing
We have assisted a foreign manufacturing company that provides world-class capabilities in metal stamping, machining, welding, assembly, among others. Our support included the negotiation and implementation of guarantees on assets and on the capital stock of its Mexican subsidiaries, to secure loans and financing granted by its creditors.
Our firm assisted a company engaged in the manufacture, transformation, and processing of plastic materials in its day-to-day corporate and contractual needs, as well as in the negotiation and implementation of a transaction involving the sale of a share of its capital stock to a well-known Canadian conglomerate.
Our firm has advised and represented a Mexican company that offers foundry and machining services, in the elaboration of its sales policies, as well as in the negotiation and execution of contracts with its clients.
Entertainment
Our firm assisted a U.S. public entity dedicated to the manufacture of gaming devices in the establishment of its commercial operations in Mexico. Our support included the design of their corporate structure, the incorporation of their Mexican subsidiaries, corporate compliance, and day-to-day legal needs.
Child Care Services
Our firm provided legal advice to a group of investors in the start-up of a company dedicated to establish and operate several childcare facilities in Mexico, including the design of its corporate structure, the drafting and negotiation of shareholder agreements, and the design of model contracts with its clients.
Private Equity
We have advised and represented venture capital and private equity funds, as well as companies receiving capital from such funds, in the negotiation and implementation of transactions involving the investment of capital in start-up companies and established private companies involved in various sectors and industries, including real estate, information technology, financial services, education.
We have assisted venture capital funds and companies receiving seed capital, in the design and/or negotiation of contracts commonly used to document seed capital financing, including convertible notes, ABACO contracts, among others.
